Curaleaf Raises Aurora Cannabis Takeover Offer to US$5 Per Share

Curaleaf has raised its takeover offer for Aurora Cannabis to US$5 per share, prompting Aurora’s board to signal a careful review of any formal proposal before making a decision

Key Points

  • 1Curaleaf increased its offer to acquire Aurora Cannabis to US$5 per share
  • 2The new offer includes 0.4013 Curaleaf shares and US$1 cash per Aurora share
  • 3Aurora previously rejected a US$4 per share bid, calling it undervalued
  • 4Aurora’s CEO stated no formal revised bid has been received yet
  • 5Aurora’s board will rigorously review any official proposal from Curaleaf

Curaleaf Holdings Inc. has increased its acquisition offer for Aurora Cannabis Inc., signaling a renewed push to unite two major cannabis players. The revised proposal values Aurora at US$5 per share, comprising 0.4013 Curaleaf shares plus US$1 in cash, based on Curaleaf’s October 2 closing price. This marks a significant bump from the previous summer bid, which was valued at US$4 per share and included a lower share exchange and cash component

The initial offer was swiftly rejected by Aurora, whose board advised shareholders that the bid undervalued the company and was not in their best interests. Curaleaf’s latest move comes after Aurora urged its investors to dismiss what it called a 'hostile takeover bid.' Curaleaf says the improved offer demonstrates its commitment to negotiating in good faith and highlights the potential value of combining the two businesses

Aurora’s CEO, Miguel Martin, responded cautiously to the new announcement. 'Today’s announcement by Curaleaf is not a formal revised bid, and Aurora has not yet received the materials required to conduct a full and proper evaluation,' Martin said in a statement. He added, 'While the announcement suggests an intention to address concerns Aurora identified with Curaleaf’s initial Hostile Bid, the Special Committee of independent directors will review any formal revised offer once received with the same rigorous, independent and disciplined process applied previously.'

With Curaleaf sweetening its offer, all eyes are on Aurora’s next move and whether a formal bid will prompt further negotiations. For the cannabis industry, this potential merger could reshape the competitive landscape, making it a development worth watching for investors and stakeholders alike
